Terms of Service

By downloading, installing, accessing, or using the NoteOwl mobile application ("App"), you agree to be bound by these Terms of Service ("Terms"). These Terms constitute a legally binding agreement between you ("you" or "User") and NoteOwl ("we," "our," or "us").

If you do not agree to all of these Terms, you must not access or use the App. Your continued use of the App constitutes ongoing acceptance of these Terms as they may be updated from time to time.

You must be at least 13 years of age (or the minimum age required in your jurisdiction) to use the App. By using NoteOwl, you represent and warrant that you meet this age requirement and have the legal capacity to enter into these Terms. If you are using the App on behalf of an organization, you represent that you have the authority to bind that organization to these Terms.

To use certain features of the App, you must create an account by providing accurate and complete information. You are solely responsible for:

• Maintaining the confidentiality of your login credentials
• All activities that occur under your account
• Notifying us immediately of any unauthorized access or use of your account

We reserve the right to suspend or terminate accounts that contain false or misleading information, or that we reasonably believe have been compromised.

NoteOwl provides AI-powered note-taking services, including but not limited to: audio recording and file upload, speech-to-text transcription with speaker identification, AI-generated summaries and content, AI chat functionality, study tools (flashcards and quizzes), and organizational features (folders and categories).

We reserve the right to modify, update, or discontinue any feature or aspect of the App at any time, with or without notice. We are not liable to you or any third party for any modification, suspension, or discontinuation of the service.

NoteOwl requires access to certain device capabilities to provide its core features. By using the App, you acknowledge and consent to the following:

a. Microphone Access

The App requires access to your device microphone to record audio. You will be prompted to grant microphone permission before your first recording. You may revoke this permission at any time through your device settings, though doing so will prevent you from using the recording feature.

b. Recording Consent and Legal Compliance

You are solely responsible for ensuring that you have obtained all necessary consents and permissions from any individuals who may be recorded. Recording laws vary by jurisdiction -- some require consent from all parties being recorded ("two-party consent"), while others require consent from only one party. It is your obligation to understand and comply with the recording laws applicable to your situation.

NoteOwl is not responsible for any legal consequences arising from your failure to obtain proper consent before recording. By using the recording feature, you represent and warrant that you have obtained all required consents.

c. File and Storage Access

The App may request access to your device storage to allow you to select and upload existing audio files for transcription and processing. We access only the files you explicitly select.

NoteOwl may offer subscription-based access to premium features ("Subscription"). By purchasing a Subscription, you agree to the following:

a. Billing

Subscription fees are billed in advance on a recurring basis (monthly or annually, depending on the plan you select) through the Apple App Store or Google Play Store. You authorize the applicable platform to charge your selected payment method for all fees.

b. Auto-Renewal

Subscriptions automatically renew at the end of each billing period unless you cancel at least 24 hours before the renewal date. You can manage or cancel your Subscription through your device's app store settings.

c. No Refunds

All Subscription payments are final and non-refundable. Once a Subscription payment has been processed, no refunds, credits, or exchanges will be issued for any reason, including but not limited to: partial use of a billing period, dissatisfaction with the service, failure to cancel before renewal, account suspension or termination due to violations of these Terms, or downgrade from a higher-tier plan.

By subscribing, you acknowledge and agree that you waive any right to a refund to the fullest extent permitted by applicable law.

d. Price Changes

We reserve the right to adjust Subscription pricing at any time. Any price changes will take effect at the start of your next billing cycle. We will provide reasonable notice of price changes via the App or email.

e. Free Trials

We may offer free trial periods at our discretion. At the end of a free trial, your Subscription will automatically convert to a paid plan unless you cancel before the trial period expires. Free trials are limited to one per user and per device.

You retain full ownership of all content you create, upload, or record using NoteOwl, including audio recordings, transcriptions, notes, and any generated materials ("User Content").

By using the App, you grant us a limited, non-exclusive, worldwide, royalty-free license to process, store, and transmit your User Content solely for the purpose of providing and improving our services. This license terminates when you delete your content or your account.

You represent and warrant that you have all necessary rights, licenses, and permissions to create and upload your User Content, and that your content does not infringe upon the intellectual property rights of any third party.

You agree to use NoteOwl only for lawful purposes and in compliance with these Terms. You shall not:

• Record conversations without obtaining proper consent from all parties as required by applicable law
• Upload, create, or distribute content that is illegal, harmful, threatening, abusive, defamatory, obscene, or otherwise objectionable
• Use the App to harass, stalk, or intimidate any individual
• Attempt to gain unauthorized access to our systems, servers, or other users' accounts
• Reverse engineer, decompile, disassemble, or otherwise attempt to derive the source code of the App
• Use automated scripts, bots, or other tools to access or interact with the App
• Exploit the App's AI features to generate harmful, misleading, or abusive content
• Resell, sublicense, or redistribute access to the App or its features without our written consent
• Circumvent, disable, or interfere with any security or access control features of the App
• Use the service in any manner that could overload, impair, or compromise our infrastructure

We take misuse of the App seriously. If we determine, in our sole discretion, that you have violated these Terms or engaged in any form of abuse, fraud, or misuse, we reserve the right to:

• Immediately suspend or permanently terminate your account without prior notice
• Revoke access to all premium features and Subscription benefits
• Delete any User Content associated with the abusive activity
• Report the activity to relevant law enforcement authorities

In the event of account suspension or termination due to abuse or violation of these Terms, you will not be entitled to any refund, credit, or compensation of any kind, including any unused portion of your Subscription. This applies regardless of the remaining time on your billing cycle.

Examples of abuse include, but are not limited to: excessive or automated use of AI features beyond normal usage patterns, sharing account credentials with unauthorized parties, attempting to exploit or manipulate the service, using the App for any purpose that violates applicable law, or any activity that we reasonably deem harmful to the App, its users, or our business.

NoteOwl utilizes artificial intelligence to provide transcription, summarization, chat, and content generation features. You acknowledge and agree that:

• AI-generated content may not always be accurate, complete, or error-free
• Transcriptions are automated and may contain inaccuracies, especially with background noise, accents, or specialized terminology
• AI summaries and generated content should not be relied upon as the sole source of truth for critical decisions
• You are solely responsible for reviewing and verifying any AI-generated content before acting on it

We do not guarantee the accuracy of any AI-powered feature and disclaim all liability arising from reliance on AI-generated content.

We strive to maintain high availability but do not guarantee uninterrupted, error-free access to the App. The service may be temporarily unavailable due to scheduled maintenance, system upgrades, or circumstances beyond our control (including but not limited to server outages, network issues, or natural disasters).

We will make commercially reasonable efforts to provide advance notice of scheduled downtime, but we are not liable for any loss or inconvenience resulting from service interruptions.

To the maximum extent permitted by applicable law, NoteOwl and its officers, directors, employees, agents, and affiliates shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of data, revenue, profits, business opportunities, or goodwill, arising out of or in connection with your use of the App.

Our total aggregate liability for all claims arising from or related to the App shall not exceed the amount you paid to us in subscription fees during the twelve (12) months preceding the event giving rise to the claim.

The App is provided on an "as is" and "as available" basis without warranties of any kind, whether express, implied, or statutory. We expressly disclaim all warranties, including but not limited to implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement.

We do not warrant that the App will meet your requirements, operate without interruption, be error-free, or that defects will be corrected.

You agree to indemnify, defend, and hold harmless NoteOwl and its officers, directors, employees, agents, and affiliates from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising out of or related to: your use of the App, your User Content, your violation of these Terms, or your violation of any rights of a third party.

You may terminate your account at any time by deleting it through the Settings screen in the App. Upon termination, your data will be permanently deleted in accordance with our Privacy Policy.

We reserve the right to suspend or terminate your account at any time, with or without cause, and with or without notice. Grounds for termination include, but are not limited to, violation of these Terms, abuse of the service, fraudulent activity, or extended periods of inactivity.

Upon termination for any reason, your right to use the App ceases immediately. No refund of any Subscription fees will be issued upon termination, whether initiated by you or by us.

These Terms shall be governed by and construed in accordance with the laws of the jurisdiction in which NoteOwl operates, without regard to its conflict of law provisions. Any disputes arising from or relating to these Terms or the App shall be resolved through binding arbitration in accordance with applicable arbitration rules, unless prohibited by local law.

You agree to resolve disputes on an individual basis and waive any right to participate in a class action lawsuit or class-wide arbitration.

We reserve the right to modify these Terms at any time. When we make material changes, we will notify you by updating the "Effective Date" at the top of these Terms and posting the revised version within the App. We may also notify you via email or in-app notification for significant changes.

Your continued use of the App after the revised Terms take effect constitutes your acceptance of the updated Terms. If you do not agree with the changes, you must stop using the App and delete your account.

If any provision of these Terms is found to be unenforceable or invalid by a court of competent jurisdiction, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall remain in full force and effect.

These Terms, together with our Privacy Policy, constitute the entire agreement between you and NoteOwl regarding your use of the App and supersede all prior agreements, understandings, and communications, whether written or oral.
