Board meeting agenda template
This board meeting agenda template follows the order of business most boards use: call to order and quorum, conflicts of interest, the last meeting’s minutes, matters arising, the chief executive’s and financial reports, items for decision, and any other business.
The builder starts in that order, marks each item for information, discussion, decision or approval, times it from your start, and lists the board papers and the motions the board will vote on.

A board meeting agenda template to copy
Paste it into Word or Google Docs on your letterhead, fill in the presenters and times, and send it with the board papers. It is plain text, so it keeps its shape anywhere.
Check your bylaws for how much notice the agenda needs and how many directors make a quorum; the template leaves room for both.

What do “for information”, “for discussion” and “for decision” mean on a board agenda?

How do you prepare a board meeting agenda?
Start from the usual order, ask what needs the board, give decisions real time, write each motion out, mark every item, and send the agenda with the board papers about a week before.
- 1
Start from the usual order
Quorum, conflicts, minutes, reports, decisions, other business. The builder starts there.

Ask what needs the board
A few weeks ahead, ask the directors and the chief executive which items need a decision.
- 3
Give decisions real time
Take routine reports as read and spend the meeting on the items marked for decision.
- 4
Write the motions out
Each decision item gets its exact motion, so directors know what they will vote on.
- 5
Send the board papers
Send the agenda and papers together, with the notice your bylaws require; a week is common.
Can NoteOwl write the board minutes from the meeting?

FAQ
Questions about board meeting agendas
What is the order of business for a board meeting?
Call to order and quorum, conflicts of interest, approval of the last minutes, matters arising, reports, items for decision, any other business, then the date of the next meeting and the close. Your bylaws may set their own order.
What is a consent agenda?
A consent agenda groups routine items, such as the last minutes and the committee reports, into one item the board approves with a single vote and no discussion. Any director can ask for an item to be taken out and discussed.
How far ahead should the board meeting agenda go out?
Often about a week before the meeting, with the board papers; your bylaws or articles may set a minimum notice. Directors need time to read, so the meeting can be spent on decisions.
Who prepares the board meeting agenda?
The chair and the chief executive usually set it together, and the secretary sends it out with the board papers. Directors can ask for items to be added before it goes out.
What is the difference between the board agenda and the board minutes?
The agenda is the plan, sent before the meeting. The minutes record what was decided, the votes and the actions. Use the agenda’s item numbers as the headings of the minutes.
Can NoteOwl record a board meeting?
Yes. NoteOwl records a board call on your Mac with no bot joining, labels each speaker, and writes the minutes with the decisions and action items using its Executive Board template. Nothing is uploaded.
